Your use of Alexis Company Inc. products and services available at www.thealexiscompany.com is subject to the terms of this legal agreement between you and The Alexis Company.

INTRODUCTION

This Terms and User Agreement document (“TUA”) sets out the conditions under which we make the Alexis Company products on www.thealexiscompany.com (the “Site”). In this TUA the terms “we,” “us,” and “our” means Alexis Company. “You” means the user or customer utilizing our Site or Services. “Both of us” or “Either of us” means both or either of You or Alexis Company. This TUA sets forth important limitations about the way you may use and rely upon materials you find on the Site. By using our Site, you will be deemed to have accepted the contents of this TUA. Please review the following terms carefully. If you do not accept the contents of this Agreement, you may not access or use the Service.

ELIGIBILITY AND LIMITATIONS ON USE

We sell our products to adults and youth (under supervision). Because we require a credit or debit card, or other approved payment method for all purchases, you must be at least 18 years old to use this Site. If you are a Minor (under age 18), you may only have access to this Site with the involvement of a guardian or parent who accepts this TUA. In addition, the guardian or parent is responsible for ensuring complete and proper adherence to this TUA, and is liable for any financial obligation for purchases. Due to restrictions on the storage and use of private information, no person under age 13 may use the Site. You are only authorized under this TUA to use the Site individually. By using the Site, you represent and warrant that you have the right, authority, and capacity to enter into this agreement and to abide by the contents of this TUA. You acknowledge that we reserve the right to terminate your right to use the Site should we determine, in our sole opinion, determine that you have violated any representation or warranty or any other provision of this TUA.

PRODUCT DESCRIPTIONS

All of our products are displayed with style number, design, color options, and minimum quantity. Although we always strive to be thorough and accurate, Alexis Company does not warrant that every product description is complete, current, or error-free. If a product offered on the Site is not up to date, we will investigate, implement changes to remedy the situation, and make the necessary corrections.

ORDER INFORMATION

As part of the ordering process, you may submit personal information to Alexis Company, which includes pictures, logos, designs, diagrams, and other materials for use in customizing your order (your “Order Information”). In providing Order Information to us via the Site you grant Alexis Company the nonexclusive, royalty-free, irrevocable, and fully sub licensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such Order Information for the purpose of providing you goods and services through the Site. We may use and disclose it for marketing purposes and in aggregate form, for benchmarking, improvements to products and services, or marketing. You represent and warrant to Alexis Company that you own or otherwise control all of the rights to the Order Information that you present and have the right to submit it for this purpose; that our use of the Order Information shall not violate any third party rights. The client is also responsible for obtaining any licensing rights or ensuring that there are no trademark infringements. Any trademark infringements are the client’s responsibility.

The rights you are granting Alexis Company pursuant to this TUA and the representations and warranties regarding the Order Information include, without limitation, slogans, logos, photographs, and other artwork, and our ability to modify and adapt such materials as necessary in order to make customized products for you. When necessary to process an order, this includes providing or arranging for access to team rosters, which may include individual names, numbers, and size information. You agree to indemnify Aexis Company, in full, for all claims resulting from any violation of your agreements, representations and warranties contained in this TUA.

ORDERS, PRODUCTION, & PRICING

The total price required for a purchase on the Site depends on a number of factors that may change between the time you begin adding items to your cart and the time you submit your final order. Products on the Site have a price associated with each product. Further, your total purchase price may be affected by factors such as particular customization requests, additional screens, artwork/proof charges, sales tax, and your shipping address. It is important that you properly review your complete order, including the final total purchase price, less any discounts, and the final individual item prices, before submitting your complete order.

Your submission of an order is an offer by you to purchase the items selected at the prices indicated immediately prior to your submission of the request. This offer remains open until Alexis Company emails you to confirm that it has been accepted and received. Whenever an order is not able to be processed due to the product being discontinued, out of stock, or closed out, Alexis Company may, at its discretion, either contact you for instructions on substitutions, or cancel your order and notify you of the cancellation. We make reasonable efforts to guarantee that you will be completely satisfied.

TAXES

Items sold on the Site may be subject to sales tax. If you are a tax exempt user (i.e. nonprofit organization, school, church), you should submit your tax exempt documents to verify your status before you place your order. Prior to submitting your order, you will see an estimate of the tax to be collected. The amount of tax actually charged on your order will depend on various factors, including the items purchased, total purchase price, customization, and the shipment destination.

PAYMENT AND DELIVERY

Alexis Company Inc. accepts standard credit and debit cards for payment for orders. We also accept cash, checks, PayPal, money orders, Zelle and approved payment methods. Due to the custom nature of the orders, Alexis Company charges your credit card or payment method at the point the order has been accepted and before Production begins. Normal turnaround time is 3 weeks (10-21 business days), which includes, acknowledgement, confirmation of order, pre-production and proof, processing the order, shipment and delivery. We have a Rush service which is based on deadlines, destination requirements, and usually processed within 1-2 weeks. The additional costs are 15%-27% depending on commercial rates.

TITLE AND RISK OF LOSS

Risk of loss and title of items purchased on the Site passes to you upon delivery of the items to the common carrier. We use standard freight/shipment companies for delivery, such as UPS and Federal Express. This includes tracking your order and maintaining specific procedures for drop off, signatures, or special instructions based upon the method that you select.

RETURNS POLICY

Returns and refunds are available as described below and based upon our commitment to excellence in the quality of our products, services, and the completion of each personalized, custom order.

Alexis Company Makes Custom And Personalized Brand Apparel, Novelty Items, And Promotional Products Per Each Request. Every Order Is Customized And Produced Solely For The Individual Customer Or Organization.

For This Reason We Cannot Offer Refunds For Your Custom Orders After The Design Is Finalized And Invoiced Is Paid. However, We Will Make Every Effort To Guarantee Your Complete Satisfaction!!

If there are any issues with your order, please contact us at support@thealexiscompany.com and we will do our best to make sure you are completely satisfied. Any error on our end will be addressed and rectified by our quality control team or refunded if warranted. You will always get what you request. We recommend ordering a sample before a larger order, especially if you need your group’s input to make final decisions on the order!

Here's Why We Do Not Offer Refunds On Custom And Personalized Orders:

SIZING

Our sizing charts are available for you to make the correct choice when placing your order. Our products are made exactly to the measurements on our sizing charts or the sizing charts you provide. We do not offer refunds for sizing issues. Different styles are considered for fit, slim, full, unisex, and other products and should be fully explained and understood upon placing the order.

COLORS

The colors on your apparel are selected by using the Pantone color code, or selected in your designs, or the closest Pantone color code based on the designs. If there are any specific color codes that you must have, those must be given to us. Every fabric will have a different shade of the color after printing depending on the GSM, weight and type. For this reason, we do not offer refunds for color issues. Please note any specific colors from the start of your order.

DESIGNS & GRAPHICS

The designs we have you confirm are a general representation of the apparel that you will receive. We make every attempt to match exactly what you submit from your artwork. Things such as placement, sizes of logos, numbers, graphics, outlines, and other design specifications must be noted in writing and confirmed in the Proof in order for us to reproduce it correctly. For this reason, we do not offer refunds for design issues. For most large orders, we like to suggest ordering a sample before placing a large order to ensure it meets your design specifications. All designs made available via our website ecommerce store are guaranteed according to style, image, and color.

TURNAROUND TIME

Our turnaround time is an average of 14- 21 business days (2-3 weeks). This includes production & shipping. This turnaround time starts from the moment the designs are confirmed, the sizes/numbers are confirmed, and the payment is made. If there are any missing parts, your turnaround time might be prolonged. We can produce apparel as fast as 1- 2 weeks (on repeat orders); and if there is a rush charge applied to the order. Depending on the order size, type of apparel, current production demand and other specifications, there might be factors that make our turnaround time longer for your order. We understand how important it is to deliver your apparel on time and we take every measure to fulfill this need. We do, however, encourage you to place your order well in advance of the event or special occasion in order to guarantee on time delivery.

For this reason, we do not offer refunds for orders that are late. And we do refund rush fees if it was a rush production order.

INTELLECTUAL PROPERTY RIGHTS

Alexis Company (or the third parties providing materials through the Site) retains all trademark, copyright, trade dress and other proprietary rights in the Site or the materials available through the Site. You may not modify the materials in the Site in any way or reproduce or publicly display, perform, or distribute or otherwise use them for any public or commercial purpose. The materials in the Site are trademarked and copyrighted and any unauthorized use of any materials at the Site may violate copyright, trademark, and other laws.

REVIEWS / COMMENTS

You may use comment or other features, if provided via the Site, to provide reviews of products, suggestions or other communications (your “Reviews / Comments”), but in providing Reviews / Comments to Alexis Company with the Site you grant Alexis Company the nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such Reviews / Comments throughout the world in any media. You promise Alexis Company that you own or otherwise control all of the rights to the Reviews and Comments that you make and have the right to submit it for this purpose; that the content is accurate; that use of the Reviews / Comments you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify Alexis Company for all claims resulting from content you supply. Alexis Company has the right but not the obligation to monitor and edit or remove any activity or content. Alexis Company takes no responsibility and assumes no liability for any content posted by you or any third party.

COPYRIGHT AND TRADEMARK POLICIES

It is our policy to respond to notices of alleged copyright infringement that comply with applicable intellectual property law (including the Digital Millennium Copyright Act) and to terminate the right of infringers to use the Site.

DISCLAIMERS AND LIMITATION OF LIABILITY

The Site is provided “AS IS” without warranties of any kind including warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property. Applicable law may not allow the exclusion of implied warranties, so this exclusion may not apply to you. In no event will Alexis Company its suppliers, or other third parties be liable for any damages whatsoever (including, without limitation, those resulting from lost profits, lost data or business interruption) arising out of the use, inability to use, or the results of use of the Site, whether based on warranty, contract, tort or any other legal theory and whether or not we have been advised of the possibility of such damages. Applicable law may not allow the exclusion or limitation of incidental or consequential damages, so these limitations or exclusions may not apply to you.

INDEMNIFICATION

You agree to indemnify, hold harmless and defend Alexis Company and its parent, subsidiaries, affiliates, officers, agents, co-branders or other partners, and staff, at your expense, against any and all third party claims or demands, actions, proceedings and suits and all related liabilities, damages, settlements, penalties, fines costs and expenses (including, without limitation, reasonable attorney's fees and other dispute resolution expenses) incurred by Alexis Company, due to or arising out of your Reviews / Comments, your use or misuse of the Site, your violation of this TUA, or your violation of any rights of another.

LOGOS / TRADE NAMES

You agree to indemnify, hold harmless and defend Alexis Company and its parent, subsidiaries, affiliates, officers, agents, co-branders or other partners, and staff, at your expense, against any and all third party claims or demands, actions, proceedings and suits and all related liabilities, damages, settlements, penalties, fines costs and expenses (including, without limitation, reasonable attorney's fees and other dispute resolution expenses) incurred by Alexis Company due to or arising out of your use of logos or trade names, your use or misuse of the Site, your violation of this TUA, or your violation of any rights of another.

CHANGES TO THE SITE; TERMINATION

Certain provisions of this TUA may be superseded by expressly designated legal notices or terms located on particular parts of the Site. Alexis Company may, at any time, modify the Site, or stop (permanently or temporarily) providing the Site

(or any features within the Site) to you at Alexis Company’s sole discretion and for any reason, and without notice, without liability to you or any person, including without limitation if Alexis Company believes you have breached or may breach any provision of this TUA; or if the provision of the Site to you is, in Alexis Company’s opinion, no longer commercially viable. Upon any such termination, the provisions of this TUA shall continue in effect except you are no longer authorized to use the Site; termination shall not relieve you of liability for breach occurring prior to termination.

AMENDMENT AND UPDATING OF THIS TUA; ELECTRONIC SIGNATURES

Alexis Company may desire to make changes to this TUA from time to time to update it, for example to add references to different products and services. Alexis Company may specify amended or updated terms that apply to the use of Site after the effective date of such amendment or update, and Alexis Company shall make a new copy of this TUA available to you and may require you to accept it as a condition to the continued provision of the Site to you. In addition, the continued use of the Site after receipt of such amended terms shall constitute your agreement to such amended terms.

In addition, any modification, amendment, or waiver of any provision of this TUA shall be effective if in writing and either signed or accepted electronically by the party against whom the modification, amendment or waiver is to be asserted. Pursuant to any applicable statutes, regulations, rules, ordinances or other laws, you hereby agree to the use of electronic signatures, contracts, orders and other records and to electronic delivery of notices, policies and records of transactions initiated or completed through the Site. Further, you hereby waive any rights or requirements under any statutes, regulations, rules, ordinances or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records.

ARTWORK

You agree that all artwork (including logos) you submit to the Alexis Company accurately depicts the design features you desire and that we have the right to edit or alter your artwork to fit our printing standards and requirements. If your artwork does not fit our printing standards and requirements, logo edits will be made proactively, logos and designs appearing on garments in our ecommerce store will be evaluated and updated periodically. Alexis Company will communicate with you when a custom design edit has been made and you will be deemed to have consented to the proposed changes (via virtual proof); and to have authorized Alexis Company to proceed with fulfilling the order(s) using the modified artwork. Notwithstanding the foregoing, we may refuse to proceed with any order(s) using modified artwork and shall not be liable in any manner as a result of any delivery delays. The Alexis Company reserves the right to deny the use of any artwork that it believes, in its sole discretion, may violate the rights of third parties and to use any artwork uploaded to our site for marketing purposes.

GENERAL

The Alexis Company administers the Site from its offices in Michigan We make no representation that the Site is appropriate or available for use outside the United States, and access to the Site from territories where its use is illegal is prohibited. You may not use or export or re-export the Site or materials found thereon or any copy or adaptation in violation of any applicable laws or regulations including without limitation U.S. export laws and regulations. If you choose to access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws. This TUA will be governed by and constructed in accordance with the laws of the state of Michigan, without giving effect to any principles of conflicts of laws. You and we agree to submit to the exclusive jurisdiction of the state and federal courts located in Michigan, USA, to resolve any legal matter arising from this TUA. Notwithstanding this, you agree that we shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction. We reserve the right to change the location of Site administration without advance notice.
